Terms of Service
Agreement to Terms
These Terms of Service ("Terms") form a legally binding agreement between you (either an individual or an entity, "you" or "Customer") and Aivius, Inc., a Delaware corporation ("Aivius," "we," or "us"), governing your access to and use of the Aivius website at aivius.ai, the Aivius platform, and any related services (collectively, the "Service").
By creating an account, clicking "I agree," or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not access or use the Service.
These Terms, together with our Privacy Policy, Data Processing Agreement (where applicable), and any other written agreements between you and Aivius, constitute the entire agreement between you and us. In the event of a conflict between these Terms and a separately signed agreement, the signed agreement controls.
Intellectual Property Rights
The Service, including its software, design, text, graphics, the Aivius name and logo, the AI Visibility Score methodology, and all related documentation, is owned by Aivius and is protected by United States and international intellectual property laws. We reserve all rights not expressly granted to you in these Terms.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the term of your subscription, solely in accordance with these Terms.
You retain all rights, title, and interest in and to the brand names, domains, prompts, and any other data you submit to the Service ("Customer Data"). Aivius retains all rights, title, and interest in and to the citation data, prompt research, visibility scores, and aggregate analytics generated by the Service ("Derived Data"). We may use Derived Data in aggregate, de-identified form — for example, to publish industry benchmarks or improve our prompt research models — provided the data cannot be reverse-engineered to identify you or your competitors.
User Representations
By using the Service, you represent and warrant that:
- You are at least 16 years of age (or the age of digital consent in your jurisdiction, if higher). If you are between 13 and 16, you may only use the Service with parental or guardian consent. We do not allow users under 13.
- You have the legal capacity to enter into a binding contract.
- All information you provide to us is accurate, complete, and current.
- You will promptly update your account information if it changes.
- Your use of the Service does not violate any law, regulation, or third-party agreement binding on you.
- You will comply with all applicable export control and sanctions laws when using the Service.
User Registration
To access most features of the Service, you must create an account. You agree to:
- Provide a valid email address and accurate account information.
- Maintain the security of your password and account credentials, and not share them with anyone.
- Notify us immediately of any unauthorized use of your account or any security breach.
- Be responsible for all activities that occur under your account, whether or not you authorized them.
- Not create more than one account to circumvent plan limits.
Aivius is not liable for any loss or damage arising from your failure to comply with these obligations. We may suspend or terminate accounts that we reasonably believe have been compromised.
Prohibited Activities (White-Hat GEO Policy)
Aivius is built on a white-hat approach to Generative Engine Optimization (GEO). You may not use the Service, directly or indirectly, to manipulate, deceive, or abuse AI engines. The following activities are strictly prohibited:
- AI manipulation: using Aivius data or tools to artificially inflate your citations through coordinated prompt flooding, bot-driven queries, or any technique designed to trick an AI engine into mentioning your brand when it would not organically do so.
- Citation fraud: attempting to generate fake citations, spoof AI engine responses, or submit manipulated data back into the Service to inflate your Visibility Score.
- Data poisoning: injecting false, misleading, or harmful content into external sources with the intent of influencing AI engine training data or retrieval results in a way that violates the AI engine's own terms of service.
- Scraping or reverse-engineering: attempting to scrape, crawl, or reverse-engineer the Service, or using automated tools to extract data beyond what the Service's API and export features explicitly provide.
- Abuse of AI engine APIs: using the Service to send prompts to AI engines in a manner that violates those engines' terms of service, including but not limited to rate-limit evasion, automated bulk queries intended to degrade the engine, or submitting prohibited content.
- Competitor abuse: using competitor tracking data to harass, defame, or interfere with a competitor's business, or to submit false reports to AI engines about a competitor.
- General prohibited conduct: using the Service to infringe intellectual property, distribute malware, violate privacy laws, send unsolicited communications, or facilitate any illegal activity.
Violations of this policy may result in immediate account suspension or termination, forfeiture of prepaid fees, and — where the violation involves illegal conduct or harm to third parties — referral to law enforcement. We reserve the right to determine, in our sole discretion, whether a use of the Service violates this policy.
User Content Contributions
You may submit content to the Service, including brand names, domains, prompts, and notes ("Contributions"). You retain ownership of your Contributions. By submitting them, you grant Aivius a worldwide, non-exclusive, royalty-free license to use, process, and display your Contributions solely to the extent necessary to provide the Service to you.
You represent and warrant that your Contributions:
- Do not infringe the intellectual property, privacy, or other rights of any third party.
- Are accurate and lawful.
- Do not contain confidential or sensitive information that you do not have the right to disclose.
We reserve the right to remove or disable access to any Contribution that we believe violates these Terms or applicable law.
Subscription and Billing
The Service is offered in four plans — Free, Starter ($39/month), Pro ($99/month), and Agency ($299/month) — each with the features and limits described on our pricing page. All fees are in US dollars (USD). Annual billing is available at a 20% discount compared to monthly billing.
- Merchant of Record: subscription billing, tax collection, and invoicing are handled by Paddle, our Merchant of Record. Your payment relationship is with Paddle, and Paddle's terms of sale apply to the payment transaction.
- Auto-renewal: paid subscriptions renew automatically at the end of each billing period (monthly or annually) until you cancel. You authorize Paddle to charge your payment method for each renewal.
- Taxes: Paddle calculates and collects applicable taxes (including EU VAT, UK VAT, and US state sales tax) based on your billing location. You are responsible for providing accurate billing information.
- Price changes: we may change our fees upon at least 30 days' notice. Price changes take effect at the start of your next billing period after the notice. Existing annual subscribers keep the rate they paid for the remainder of their annual term.
- Refunds: monthly subscriptions are non-refundable except where required by law. Annual subscriptions are eligible for a pro-rata refund within 14 days of purchase or renewal, and thereafter as required by applicable law. Contact support@aivius.ai to request a refund.
- Plan changes: you can upgrade or downgrade at any time. Upgrades take effect immediately and are pro-rated. Downgrades take effect at the start of the next billing period. If you downgrade from a plan with more AI engine coverage to one with less (for example, from Pro to Starter), you lose access to the additional engines at the end of the current billing period, and historical data collected under the higher plan is retained but becomes read-only.
- Seat limits: each plan includes a specific number of user seats (1 for Starter, 3 for Pro, 10 for Agency). Additional seats may be purchased as an add-on. Sharing a single seat among multiple individuals by reusing login credentials is prohibited and may result in account suspension.
Free Trial
We may offer free trials of paid plans from time to time. Free trials are limited to the trial period stated at sign-up (typically 14 days). At the end of the trial, your account automatically converts to the Free plan unless you choose to subscribe to a paid plan. We may limit the number of free trials per user or organization and may modify or discontinue free trials at any time.
Cancellation
You can cancel your subscription at any time from your account settings or by contacting support@aivius.ai. Cancellation takes effect at the end of your current billing period — you retain access to paid features until then. No further charges occur after cancellation. If you cancel during an annual term outside the refund window, no refund is provided for the unused portion, but you keep access until the annual term ends.
You may also delete your account entirely at any time. Account deletion triggers deletion of your Customer Data within 30 days, as described in our Privacy Policy. Billing records are retained as required by law.
AI Engine Data Disclaimer
The Service retrieves citation, mention, and visibility data from third-party AI engines via their public interfaces and APIs. We want to be explicit about the limits of this data:
- No guarantee of accuracy: AI engines generate responses probabilistically. The same prompt may produce different answers on different days, in different geographies, or for different users. We do not guarantee that the citation data we report is 100% accurate, complete, or representative of what every user sees.
- Sampling and caching: AI engines may cache, personalize, or A/B-test responses. Our crawlers query from specific regions and accounts; results may differ from what you see when you ask the same prompt yourself.
- Engine availability: AI engines may change their APIs, rate limits, or response formats without notice. We may experience temporary gaps in coverage while we adapt. We will not be liable for data gaps caused by third-party AI engine changes.
- No endorsement: the inclusion of a brand in an AI engine's response does not imply endorsement by Aivius, and the absence of a brand does not imply poor quality.
You agree not to rely solely on Aivius data for critical business decisions and to use your own judgment when interpreting visibility trends. The Service is provided for informational and analytical purposes only.
Aivius does not store, cache, or reproduce the full text of AI engine responses beyond the short citation snippets necessary to generate visibility reports. All citation snippets are attributed to their source AI engine and are used solely for analytical purposes. If an AI engine provider requests that we stop querying their API on your behalf, we will comply and notify you of the interruption. We are not responsible for any data gap caused by an AI engine provider's decision to block, rate-limit, or change the terms of access to their API.
You acknowledge that AI engine providers (including but not limited to OpenAI, Google, Anthropic, Perplexity, Microsoft, Meta, Amazon, and Apple) are independent third parties with their own terms of service. Your use of the Service does not grant you any rights to access or use those AI engines directly. You are solely responsible for ensuring that your brand and competitor tracking activities comply with any terms of service that apply to you when AI engine data is surfaced in your Aivius dashboard.
Third-Party Services
The Service integrates with and relies on third-party services, including but not limited to Amazon Web Services, Paddle, Resend, and the AI engines themselves. We are not responsible for the availability, accuracy, or behavior of these third-party services. Their terms of service and privacy policies apply to your use of them.
If a third-party service we depend on becomes unavailable, we will use commercially reasonable efforts to restore the Service, but we are not liable for downtime or data loss caused by third parties.
Limitation of Liability
To the maximum extent permitted by law, in no event shall Aivius, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or related to your use of the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
Aivius's total aggregate liability for any claim arising out of or related to the Service, regardless of the form of the action, shall not exceed the amount you paid to Aivius (via Paddle) in the 12 months preceding the event giving rise to the claim, or $100, whichever is greater.
The foregoing limitations do not apply to liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or willful misconduct, or to either party's indemnification obligations.
Disclaimer
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. Aivius disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that the data we provide is accurate or reliable.
Any advice or information obtained from or through the Service is used at your own risk. We are not responsible for any decisions you make based on information in the Service.
Governing Law
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
You and Aivius agree that the state and federal courts located in Delaware (or, if subject matter jurisdiction requires, the federal courts located in the District of Delaware) shall have exclusive jurisdiction over any dispute arising from these Terms or the Service, except as provided in the "Dispute Resolution" section below.
Dispute Resolution
We are committed to resolving disputes informally. The following procedure applies to any dispute arising out of or relating to these Terms or the Service:
- Informal resolution: before filing a formal claim, you agree to first contact us at hello@aivius.ai with a description of the dispute and attempt in good faith to resolve it for at least 30 days.
- Arbitration: any dispute that cannot be resolved informally shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (if you are an individual) or Commercial Arbitration Rules (if you are a business), conducted in Wilmington, Delaware. The arbitrator's award may be entered in any court of competent jurisdiction.
- Class action waiver: you and Aivius agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitration of individual claims may not be consolidated.
- Small claims court: either party may bring a claim in small claims court in Delaware (or your local small claims court, if permitted) instead of arbitration, provided the claim is within that court's jurisdiction.
- Injunctive relief: either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information without first submitting to arbitration.
If any portion of this dispute resolution section is found unenforceable, the remainder shall remain in full force and effect.
Indemnification
You agree to indemnify, defend, and hold harmless Aivius, its officers, directors, employees, affiliates, and agents from and against any claim, demand, action, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service in violation of these Terms or any applicable law.
- Your Contributions, including any claim that your Contributions infringe the intellectual property or other rights of a third party.
- Your breach of the "Prohibited Activities (White-Hat GEO Policy)" section, including any manipulation of AI engines, citation fraud, or data poisoning conducted using data or tools obtained from the Service.
- Your violation of any third-party rights, including the rights of AI engine providers whose APIs we access on your behalf.
Aivius will provide you with written notice of any claim for which it seeks indemnification. You will control the defense and settlement of the claim, provided that you may not settle any claim that imposes liability or admission of fault on Aivius without our prior written consent. Aivius may participate in the defense at its own expense. This indemnification obligation survives termination of the Agreement.
Confidentiality
Each party agrees to keep confidential any non-public information it receives from the other party in connection with the Service, including pricing, product roadmaps, and business strategies ("Confidential Information"). Confidential Information will be used solely for the purpose of performing under these Terms and will not be disclosed to third parties except as required by law or to advisors bound by confidentiality obligations. This obligation survives termination for a period of 3 years. Customer Data is treated as Confidential Information of Customer; Aivius's Derived Data and internal methodologies are Confidential Information of Aivius.
Force Majeure
Neither party will be liable for any failure or delay in performance under these Terms (other than payment obligations) caused by circumstances beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions, labor disputes, internet or telecommunications failures, or outages of third-party AI engine APIs or cloud infrastructure providers. The affected party will notify the other party without undue delay and use commercially reasonable efforts to resume performance as soon as practicable. If a force majeure event continues for more than 30 consecutive days, either party may terminate the affected subscription with a pro-rata refund for the unused portion of the prepaid fees.
Assignment
You may not assign, transfer, or sublicense these Terms or your rights under them, in whole or in part, without Aivius's prior written consent. Any attempted assignment in violation of this section is void. Aivius may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, provided that the assignee agrees in writing to be bound by these Terms. These Terms bind and inure to the benefit of the parties and their respective permitted successors and assigns.
Severability
If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it will be severed from these Terms. The remainder of these Terms will continue in full force and effect. No waiver of any provision will be deemed a further or continuing waiver of that provision or any other provision.
Entire Agreement
These Terms, together with the Privacy Policy, the Data Processing Agreement (where applicable), and any order forms or statements of work signed by both parties, constitute the entire and exclusive agreement between you and Aivius with respect to the Service, and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral. No prior course of dealing or trade usage is part of these Terms.
If you have signed a separate written agreement (such as an Enterprise master subscription agreement) with Aivius and there is a conflict between that agreement and these Terms, the separate agreement controls for the matters it covers. These Terms continue to govern any matters not covered by the separate agreement.
No Waiver
The failure of Aivius to enforce any right or provision of these Terms at any time will not be deemed a waiver of that right or provision. No waiver is effective unless in writing and signed by an authorized representative of Aivius. The waiver of any breach or default is not a waiver of any subsequent breach or default.
Notices
Aivius may provide notices to you under these Terms by email to the address associated with your account, by in-app message, or by posting on the Service. Notices sent by email are deemed received 24 hours after sending, unless the email bounces. Notices posted on the Service are deemed received when posted. You may provide notices to Aivius by email to legal@aivius.ai or by certified mail to our mailing address. Legal notices must be in English.
Changes to Terms
We may modify these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. We will notify you of material changes by email at least 30 days before they take effect.
If you do not agree to the modified Terms, you may cancel your subscription as described in the "Cancellation" section, and the modified Terms will not apply to charges incurred before the cancellation takes effect. Your continued use of the Service after the modified Terms take effect constitutes your acceptance of the changes.
